Terms of Service

These Terms of Service ("Terms") constitute a binding agreement between you ("User," "you") and OTPSync ("Company," "we," "us") governing your access to and use of the OTPSync browser extension, web dashboard, cloud synchronization services, and related software (collectively, the "Service").

By creating an account, installing the extension, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use OTPSync.

1. Service Description

OTPSync is a browser-native authenticator extension that generates time-based one-time passwords (TOTP), stores them in a locally encrypted vault, and optionally synchronizes encrypted vault data across devices via OTPSync Cloud and/or Google Drive.

The Service operates on a zero-knowledge architecture. You alone control your custom passcode. We cannot access decrypted vault contents. See our Privacy Policy and Legal Disclaimer for full details on data handling and liability.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract under applicable law. You represent that all registration information you provide is accurate and that you will keep it current.

3. Account Registration and Security

You are responsible for safeguarding your OTPSync account credentials (email and password) and your custom vault passcode. Any activity occurring under your account is presumed to be yours unless you promptly notify us of unauthorized access.

You acknowledge that loss or forgetfulness of your custom passcode results in permanent loss of access to encrypted vault data. OTPSync cannot recover it. This is a technical constraint of zero-knowledge encryption, not a support limitation we can override.

4. Licensing and Plans

OTPSync grants you a limited, non-exclusive, non-transferable, revocable license to use the Service subject to these Terms and your active plan tier.

4.1 Free Tier

The Free Tier is provided at no charge and includes:

  • 1 active device per account
  • Up to 15 encrypted secrets (TOTP entries)
  • Zero-knowledge encrypted vault
  • Core extension functionality including local TOTP generation

We reserve the right to modify Free Tier limits with reasonable notice. Existing accounts will not be retroactively penalized without communication.

4.2 Premium Lifetime Access

Premium Lifetime Access is a one-time payment of $15.00 USD (unless otherwise stated at checkout) that unlocks, for the life of the product:

  • Unlimited active devices
  • Unlimited encrypted secrets
  • Dual cloud backup (OTPSync Cloud + Google Drive)
  • Smart Suggestions, configurable auto-lock timers, and remote device management features as described on our website

"Lifetime" refers to the operational lifetime of the OTPSync product offering, not the lifetime of the purchaser. If OTPSync discontinues the Service entirely, we will provide reasonable advance notice; no ongoing subscription refunds apply because no subscription exists.

Premium purchases are subject to our 14-Day Refund Policy.

5. Acceptable Use

You agree to use OTPSync only for lawful purposes and in compliance with these Terms. You shall not:

  • Use the Service to facilitate unauthorized access to any system, account, or network
  • Abuse, overload, or attempt to circumvent synchronization infrastructure, API rate limits, or plan enforcement mechanisms
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code, cryptographic implementations, or proprietary logic from the extension or backend services, except where expressly permitted by applicable law notwithstanding this limitation
  • Interfere with or disrupt the integrity or performance of the Service or third-party integrations
  • Resell, sublicense, or redistribute the Service without written authorization
  • Upload malicious code or use the Service to distribute malware

Violation of acceptable use may result in immediate suspension or termination of your account without refund, particularly where abuse occurs outside the 14-day refund window.

6. Intellectual Property

OTPSync, including its name, logo, extension code, website content, and documentation, is owned by the Company and protected by intellectual property laws. These Terms do not grant you any ownership interest — only the limited license described in Section 4.

Your encrypted vault data remains yours. We claim no ownership over ciphertext you store through the Service.

7. Third-Party Services

The Service integrates with third-party platforms including Google (for optional Drive backup and OAuth sign-in) and payment processors. Your use of those services is governed by their respective terms. OTPSync is not responsible for third-party outages, policy changes, or data practices.

8. Service Availability and Modifications

We strive for reliable uptime but do not guarantee uninterrupted access. Maintenance, updates, and force majeure events may cause temporary disruptions. We may modify, suspend, or discontinue features with notice when practicable.

9. Termination

You may delete your account at any time through the dashboard. We may suspend or terminate your account if you breach these Terms or if required by law. Upon termination, your license to use the Service ends immediately. Encrypted data on our servers will be handled per our Privacy Policy.

10. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." DISCLAIMERS, WARRANTY EXCLUSIONS, AND LIABILITY LIMITATIONS ARE SET FORTH IN OUR LEGAL DISCLAIMER & LIMITATION OF LIABILITY, WHICH IS INCORPORATED INTO THESE TERMS BY REFERENCE.

11. Indemnification

You agree to indemnify and hold harmless OTPSync, its officers, directors, and affiliates from claims arising out of your misuse of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

Before initiating formal proceedings, you agree to contact us at [email protected] and attempt good-faith resolution for at least thirty (30) days.

13. Changes to These Terms

We may update these Terms. Material changes will be posted on this page with an updated effective date. Your continued use after changes constitutes acceptance. If you disagree with revised Terms, you must stop using the Service and delete your account.
